Terms of Service

1. Who we are

Outy is a platform that helps professionals discover B2B dinners, happy hours, meetups, and conference side events (collectively, "Events"). We are not the organizer of most Events and typically do not handle ticketing or payment; we connect you to hosts and third-party registration pages.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Service. By using Outy, you represent that you meet these requirements.

3. Your account

You may need an account to access certain features of the Service.

You agree to:

• Provide accurate, current information
• Keep your login credentials secure
• Be responsible for all activity that occurs under your account

We may suspend or terminate your account if we believe you have violated these Terms or used the Service in a way that could cause harm to Outy or others.

4. Event listings and third-party services

Most Events listed on Outy are created and hosted by third parties. Outy:

• Does not guarantee the accuracy, completeness, or timeliness of Event information
• Is not responsible for cancellations, changes, or quality of any Event
• Is not a party to any transaction between you and an Event host, venue, or ticketing platform

Links to third-party websites or services (including ticketing platforms and communication tools) are provided for convenience. We do not control and are not responsible for third-party services.

5. User content

You may be able to submit or share content through the Service, including Event listings, host profiles, comments, or other information ("User Content").

You retain ownership of your User Content, but grant Outy a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, display, and perform that content in connection with operating and improving the Service.

You are responsible for your User Content and agree that you will not submit any content that:

• Is unlawful, misleading, defamatory, obscene, or hateful
• Infringes or violates the rights of any third party
• Contains spam or unsolicited commercial messages
• Contains malicious code or otherwise interferes with the Service

We may remove or modify User Content at our discretion.

6. Acceptable use

You agree not to:

• Access or use the Service for any unlawful purpose
• Attempt to probe, scan, or test the vulnerability of our systems or networks
• Interfere with or disrupt the Service, including by overloading or flooding it
• Scrape, crawl, or use automated means to access the Service (except as permitted by us in writing)
• Use the Service to send unsolicited or unauthorized messages, including SMS or email spam

We may investigate and pursue legal remedies for any misuse of the Service.

7. Communications, SMS, and email

By providing your email address and/or mobile phone number and selecting the appropriate settings, you may choose to receive:

• Transactional communications related to your account and Events (e.g., alerts, reminders, updates)
• Optional marketing emails (no SMS marketing)
• SMS notifications

If you opt in to SMS event alerts and reminders:

• You agree to receive SMS messages to the mobile number you provide
• Message frequency varies based on the number of alerts you enable
• Msg & data rates may apply
• You can opt out at any time by replying STOP (you may receive a confirmation message)
• You can reply HELP for help or contact us at support@outy.io

We use third-party service providers (such as SMS gateway providers) to deliver SMS messages. These providers act on our behalf as processors.

We may still send you important, non-marketing communications (for example, critical service or security notices) even if you opt out of marketing emails or SMS.

8. Intellectual property

All rights, title, and interest in and to the Service (excluding User Content) are owned by Outy and its licensors, including all software, text, graphics, logos, and trademarks.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code, except as permitted by applicable law.

9. Disclaimers

The Service and all content are provided "as is" and "as available" without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, Outy disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any Event will meet your expectations.

10. Limitation of liability

To the fullest extent permitted by law:

Outy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party, including Event hosts
• Any unauthorized access, use, or alteration of your transmissions or content

Outy's total liability for any claim arising out of or relating to the Service or these Terms is limited to the greater of (a) the amount you paid us (if any) in the 12 months before the event giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Outy and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your User Content
• Your violation of these Terms or any applicable law
• Your violation of any rights of a third party

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms.

You may stop using the Service at any time. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnity) will survive.

13. Changes to the Service and these Terms

We may modify the Service or these Terms from time to time. If we make material changes, we will notify you by updating the "Last updated" date and, where appropriate, by additional notice (such as email or in-app notification).

Your continued use of the Service after the revised Terms have become effective means you accept the changes.
